1. Acceptance of Terms and eligibility

These Terms of Service (“Terms”) form an agreement between you and PT OMSETPRO DIGITAL INDONESIA, an Indonesian company (“OmsetPro,” “we,” “us,” or “our”). By accessing or using OmsetPro, connecting a wallet, authenticating, or submitting a transaction through the interface, you agree to these Terms. If you do not agree, do not use the service.

You may use OmsetPro only if you have reached the age of majority and have legal capacity to enter binding agreements under the laws that apply to you. If you use OmsetPro for an organization, you represent that you have authority to bind it. You must not use the service if applicable law prohibits you from doing so.

2. The OmsetPro service

OmsetPro is an Arc-native, peer-to-peer platform for recording and carrying out physical item lending agreements. Its smart contract supports agreement creation, a refundable native-USDC security deposit, a protocol fee, handover and return deadlines, return proof, damage and overdue claims, claim acceptance or dispute, arbiter-led onchain deposit allocation, and refund or settlement.

OmsetPro provides software and smart-contract infrastructure. The owner and renter / borrower deal directly with each other regarding the physical item. OmsetPro is not a party to their physical handover or return, does not take possession of an item, and does not independently verify the parties or facts they submit.

3. Participant roles

Each agreement uses three distinct wallet addresses:

Owner
Creates the agreement, identifies the item and terms, confirms handover, evaluates a requested return, and may raise an eligible damage or overdue claim.
Renter / borrower
Funds the security deposit and protocol fee, receives the item from the owner, requests return with a proof URI, and may accept or dispute a claim.
Arbiter
Is selected in advance to decide how the deposited USDC is allocated if the renter / borrower disputes a claim.
The arbiter is an onchain role, not necessarily a legal arbitrator.

The role is limited to resolving allocation of the agreement's security deposit under the smart contract. It is not legal arbitration and does not replace courts, law enforcement, insurance, contractual remedies, or other rights available under applicable law.

4. USDC security deposits and protocol fee

The agreement creator specifies a native-USDC security deposit. At funding, the renter / borrower sends the deposit plus a protocol fee equal to 1% of the deposit amount. The smart contract holds the deposit for settlement under the agreement lifecycle and sends the protocol fee to the designated fee recipient when funding succeeds.

The security deposit is not a rental fee.

OmsetPro currently does not charge, collect, escrow, or administer a separate rental payment. Any separate payment or arrangement between participants is outside the current OmsetPro protocol and is solely their responsibility.

The deposit is refundable only as the smart-contract lifecycle permits. It may be returned in full, divided between owner and renter / borrower, or paid to the owner up to the deposited amount following a claim. The 1% protocol fee is separate from the refundable deposit and, once collected, is not returned by the smart-contract lifecycle, unless a refund is required by applicable law.

5. Agreement creation, funding, handover, and return

Creation and funding

The owner creates an agreement by identifying the renter / borrower and arbiter wallet addresses, item name and metadata URI, deposit amount, handover and return deadlines, inspection period, and claim-response period. The three role addresses must be different. The renter / borrower alone may fund the agreement, and funding must occur before the handover deadline. An unfunded agreement may be cancelled by the owner.

You must review all terms, addresses, amounts, deadlines, and linked material before signing. Blockchain time and the smart contract—not a participant's local clock—determine whether an onchain deadline has been reached.

Handover

After funding, the owner confirms handover onchain before the handover deadline. That transaction changes the agreement to active; it does not itself prove the item's identity, condition, delivery, or receipt. If handover is not confirmed by the deadline, the renter / borrower may use the smart contract to recover the deposited amount. The already-collected protocol fee is not part of that refund.

Return and return proof

While the agreement is active, the renter / borrower may request return by submitting a non-empty return-proof URI. The URI and any information it references are supplied by the participant; OmsetPro does not verify that they prove a physical return. During the inspection period, the owner may confirm successful return, which refunds the deposit in full, or raise an eligible damage claim. If the inspection period expires without an owner response, the renter / borrower may finalize the return and receive the deposit refund.

6. Damage claims, overdue claims, and disputes

Damage and overdue claims

The owner may raise a damage claim after a return request and before the inspection period ends. The owner may raise an overdue claim after the return deadline while the agreement remains active. A claim must specify an amount greater than zero and no greater than the deposit, together with a non-empty evidence URI. Submitting a claim or evidence URI does not make the claim accurate, lawful, or independently verified.

Acceptance, non-response, and dispute

During the claim-response period, the renter / borrower may accept the claim or dispute it. Acceptance pays the claimed amount to the owner and returns any remainder to the renter / borrower. If the renter / borrower does not respond before the period ends, the owner may finalize the same allocation. Participants are responsible for monitoring deadlines; the protocol does not promise offchain reminders.

Arbiter-led onchain resolution

A disputed claim can be resolved only through the wallet selected as arbiter for that agreement. The arbiter chooses an owner award from zero up to the full deposit; the remaining amount is returned to the renter / borrower. The arbiter must act independently, review the information available, disclose relevant conflicts to the participants, keep wallet access secure, and avoid collusion or improper benefit. OmsetPro does not supervise or guarantee an arbiter's availability, impartiality, reasoning, or decision.

The smart contract automatically settles the deposit according to the valid transaction submitted for the applicable lifecycle state. Onchain settlement addresses only the deposited USDC. It does not decide legal title, criminal or civil liability, damages beyond the deposit, or any other offchain remedy.

7. User-controlled wallets and blockchain transactions

You interact through a user-controlled external or embedded wallet. You decide whether to approve each transaction. OmsetPro does not receive or control your private key or seed phrase and does not maintain a custodial account for you. The smart contract's temporary holding and programmed allocation of a deposit is not an OmsetPro custodial wallet service.

You are responsible for your wallet, device, authentication methods, recovery credentials, and every transaction authorized through them. A compromised key, mistaken address, unsupported network, malicious wallet, or lost recovery method may cause irreversible loss. Never share a seed phrase or private key with OmsetPro or anyone claiming to represent us.

Blockchain transactions may be irreversible once signed and confirmed. OmsetPro cannot cancel, modify, or reverse a confirmed transaction, restore access to a wallet, or alter Arc Mainnet records. Network delays, reorganization, congestion, outages, or transaction failure may affect timing and availability.

8. Arc Mainnet, USDC, and cross-chain transfers

Arc Mainnet is the core network for the OmsetPro agreement protocol and uses native USDC for deposits, protocol fees, and settlement. USDC is a third-party digital asset subject to its issuer's terms and technical, regulatory, market, and network risks. OmsetPro does not issue USDC and does not guarantee its availability, redemption, value, or operation.

OmsetPro's bridge interface uses Circle Bridge Kit to help users initiate native USDC transfers through Circle CCTP V2 between supported networks. A transfer can require multiple steps, including approval, source-chain burn, attestation, and destination-chain mint. Your wallet signs the required transactions. Verify the source network, destination network, recipient, amount, route, estimated cost, and status of every step.

Circle and relevant networks operate independently. OmsetPro does not operate or control CCTP, attestations, supported routes, blockchains, or finalization and does not guarantee transfer timing or completion. A source burn may succeed before destination minting completes; do not submit a duplicate transfer merely because finalization is delayed. Circle does not operate or endorse OmsetPro.

9. Physical item risks and participant responsibility

Physical item lending carries risks that software and an onchain deposit cannot eliminate. Before participating, each user must independently assess the other participant and determine the item's ownership, authority to lend, identity, authenticity, condition, safety, legality, suitability, value, maintenance needs, and permitted use. Users are also responsible for lawful handover, possession, transport, storage, use, return, and any documentation they require.

OmsetPro does not inspect items or guarantee ownership, condition, authenticity, legality, safety, delivery, performance, or return. It does not conduct identity verification merely because a user authenticates or connects a wallet. Users should not lend, borrow, list, or transfer any item where doing so is unsafe, unlawful, unauthorized, or requires a license they do not hold.

OmsetPro does not provide insurance. A deposit may be less than the value of an item or alleged loss and is not an insurance policy or guarantee. Users are responsible for deciding whether separate insurance, written terms, inspection, identification, or other safeguards are appropriate.

OmsetPro is not a pawn shop, bank, lender, credit provider, or loan provider. A physical item lending agreement does not create a loan of money, credit facility, interest, or yield through OmsetPro.

10. Third-party services

OmsetPro interoperates with services that we do not control, including Privy, social-login providers, embedded and external wallets, wallet connection protocols, Circle Bridge Kit and CCTP V2, Arc Mainnet and other supported networks, RPC services, and blockchain explorers. Your use of a third-party service is governed by that provider's terms and policies. OmsetPro is not responsible for a third party's availability, security, accuracy, fees, acts, omissions, or changes.

11. Fees, network costs, and prohibited conduct

Costs

In addition to the 1% protocol fee, blockchain, wallet, bridge, or third-party network costs may apply. Costs may change and may be charged even when a transaction fails or a multi-step operation does not finish. You are responsible for reviewing displayed estimates and maintaining sufficient assets for all required steps. You are also responsible for taxes, duties, reporting, or other governmental charges applicable to your activity.

Prohibited conduct

You must not:

  • use OmsetPro or an item in violation of applicable law;
  • submit false, deceptive, infringing, unlawful, or malicious agreement data, proof, evidence, or links;
  • impersonate another person, misrepresent authority or ownership, or collude to manipulate a claim or arbiter decision;
  • interfere with, exploit, attack, overload, reverse engineer where prohibited, or bypass access or security controls of the interface;
  • introduce malware, phishing content, or code designed to compromise a wallet, user, service, or network; or
  • use the service to launder proceeds, evade sanctions, facilitate fraud, or engage in other prohibited financial activity.

You are responsible for complying with all laws applicable to you, the item, your location, and each transaction, including any consumer, property, safety, tax, export, sanctions, and licensing rules.

12. Intellectual property

OmsetPro and its website, interface, branding, design, and original content are owned by or licensed to PT OMSETPRO DIGITAL INDONESIA and are protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the interface for its intended purpose.

You retain rights in content you submit. You grant OmsetPro the limited permission reasonably necessary to display, transmit, and process that content to operate the service. You represent that you have the rights needed to submit it. Third-party names and marks, including Circle, USDC, Privy, and Arc, belong to their respective owners; factual reference to them does not imply sponsorship or endorsement.

13. Availability, modifications, and evolving technology

We may maintain, modify, restrict, or discontinue all or part of the website or interface, add or remove supported networks or features, or update smart-contract integrations. We do not promise uninterrupted or error-free availability. Where reasonably possible, we will communicate material service changes through the website.

Blockchain, wallet, smart-contract, and bridge technology continues to evolve. Code may contain defects or vulnerabilities, standards and provider integrations may change, and regulatory treatment may be uncertain. Interface unavailability does not necessarily stop an already deployed smart contract or public blockchain. Users with the necessary technical ability may be able to interact directly, at their own risk.

14. Disclaimers, limitation of liability, and indemnification

Disclaimers

To the maximum extent permitted by applicable law, OmsetPro is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. We do not warrant any participant, item, evidence, arbiter, third-party service, network, token, transaction outcome, or physical-world performance.

Limitation of liability

To the maximum extent permitted by applicable law, PT OMSETPRO DIGITAL INDONESIA and its directors, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, opportunity, digital assets, or use, arising from or relating to OmsetPro. This includes loss connected with a physical item, participant conduct, wallet compromise, transaction error, smart contract, blockchain, arbiter decision, or third-party service.

To the maximum extent permitted by law, our aggregate liability arising from or relating to the service will not exceed the protocol fees you paid to OmsetPro during the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited, including any mandatory consumer right.

Indemnification

To the extent permitted by law, you will indemnify and hold harmless PT OMSETPRO DIGITAL INDONESIA and its directors, officers, employees, and agents from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use of the service, your breach of these Terms, an item you own or use, content you submit, or your infringement of another person's rights. This obligation does not apply to the extent a claim results from OmsetPro's own unlawful conduct.

15. Suspension and termination

You may stop using the service at any time. We may suspend or restrict access to the OmsetPro-hosted interface where reasonably necessary to address a Terms violation, security threat, legal requirement, service integrity issue, or discontinuation. Suspension of the interface cannot erase public blockchain records or necessarily stop a deployed smart contract, and it does not reverse a transaction or eliminate obligations already incurred between participants.

Provisions that by their nature should survive will survive termination, including provisions on participant obligations, intellectual property, disclaimers, liability, indemnification, governing law, and completed or pending onchain activity.

16. Changes, governing law, and contact

We may update these Terms as the service, law, or technology changes. We will post the revised Terms and update the date above. Changes apply prospectively when posted or on a later stated date. Your continued use after the effective date constitutes acceptance of the revised Terms; stop using the service if you do not agree.

These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict-of-laws principles, except where mandatory law requires otherwise. Disputes may be brought before courts in Indonesia that have jurisdiction under applicable procedural law. The onchain arbiter role described above is not a mandatory legal arbitration clause and does not waive access to a court or other remedy available by law.

If a provision is unenforceable, it will be enforced to the greatest lawful extent and the remaining provisions will continue. A failure to enforce a provision is not a waiver. These Terms, together with policies expressly incorporated into them, are the entire agreement between you and OmsetPro concerning the service.
